All orders are accepted by HO LINK subject to the Terms and Conditions of Sale set out below: 1. General All orders for products (“Products”) or services (“Services”) will be accepted by Ho Link Global Company subject to these terms and conditions of sale. Any company or person who places orders for Products or Services with HO LINK is bound by these terms and conditions and which shall constitute the entire understanding and agreement between Ho Link and the Customer. No other terms will apply to the supply of Products and Services by Ho Link unless agreed in writing by an authorised signatory of Ho Link. Ho Link reserves the right to amend, modify, vary or supplement all or any part of these terms and conditions at any time without any prior notice. The most current version of these terms and conditions can be found at www.holink.com.hk. Ho Link shall not be liable to the Customer for any errors or omissions. The advertising of products and services in the Ho Link is not an offer capable of acceptance, it merely constitutes an invitation by Ho Link for the Customer to make an offer. Ho Link is a business-to-business supplier.
Prices
The prices of Products and Services are as set out in Ho Link official quotation with validity of 30days. All prices exclude sales tax (if applicable). Ho Link reserves the right to change prices without prior notice at any time.
Ordering
Customer can confirm order by providing official purchase order. Or by telephone, fax and whatsapp which required our sales confirmation to avoid duplication. If the customer orders the wrong product or quantity, or duplicates orders, please notify Ho Link as soon as possible, cancelation charge may be applied for item which is non-cancelable.
Delivery
Orders included delivery charge for delivering in Hong Kong, except mentioned in official quotation with “delivery charge”. Ho Link will use local courier to deliver Products in accordance with the Customer’s order. Times and dates for delivery quoted in the quotation or by Ho Link’s employees are approximate only and Ho Link shall not be liable for the consequences of any delay in delivery howsoever caused. Time for delivery may change if product can improve lead time or delay due to supplier postponed delivery schedule. If a revised delivery time is not acceptable, Ho Link may also, at its discretion, offer an alternative delivery option. Ho Link may notify the Customer if Ho Link will be unable to fulfil any order for non-stocked Products within the published lead time, and will provide alternative options to the Customer.
Inspection
Customer must inspect all Products as soon as reasonably possible after delivery and shall, within 10 days of delivery. Any defect in a Product that is apparent on reasonable examination and is not fit for purpose. In this case, Ho Link shall, at Ho Link’s discretion, replace the Product or refund the purchase price. Any shortfall in Products delivered. In this case Ho Link shall, at its discretion, deliver the undelivered Products or refund the price of the undelivered Products. Any delivery of Products not in accordance with the order. In this case Ho Link shall, at Ho Link’s discretion, replace the Products or refund the purchase price. Any non-delivery of the Products. In this case Ho Link shall deliver the undelivered Products or refund the price of the undelivered Products. If the Customer fails to give any such notice within the specified time, the Customer will be deemed to have accepted the relevant order as being delivered in accordance with the Customer’s instructions and to have accepted the Products as being free from all defects. Ho Link shall not be liable for any other losses, damages or expenses incurred by the Customer.
Payment
Ho Link offers different payment term which included payment in advance, deposit and credit term to different customers. It depends on the customer nature and co-operation with Ho Link in offering payment term. If a credit has been granted, the Customer must pay in accordance with the credit terms agreed.
Purchasing Card
Ho Link accepted payment by purchasing card “Pcard” for co-operating the procurement requirements.
Warranty For Products
Ho Link warrants that if any Product is defective, it will, at its option, replace or repair the Product or refund the purchase price, provided that a claim is notified in writing to Ho Link within 12 months of the date of dispatch of the Product, or such other longer period as may be indicated by Ho Link for specific products from time to time. For Services: Ho Link warrants that if any Service is defective, it will, at its option, either rectify the Service or supply to the Customer free of charge a substitute Product in place of the defectively serviced Product, provided that a claim is notified in writing to Ho Link within 12 months of the date of the invoice of such Service, or such other periods as may be indicated by Ho Link for specific Products from time to time. These warranties shall not apply to any defect which arises from improper use, failure to follow the product instructions, or any repair or modification made on the Products without the consent of Ho Link. The Customer must deal with the defective Products in accordance with Ho Link’s instructions. The Customer must contact Ho Link to notify Ho Link in advance of the return of any Products. Returned Products must be accompanied by an advice note stating the invoice number and the nature of the defect. Where the Customer does not return Products, Ho Link may refuse to accept such Products and return them to the Customer at the Customer’s cost. The remedies set out above shall be Ho Link’s sole liability and the Customer’s sole remedy for any breach of warranty and in respect of the supply of Products and/or Services. Save as expressly provided in these terms and conditions, all implied warranties, terms and conditions concerning the supply of Products and/or Services are excluded to the fullest extent permitted by law (including, without limitation, the implied terms of satisfactory quality, fitness for purpose and provision of services with reasonable care and skill). Ho Link shall not be liable to the Customer for any loss, damage or liability which arises out of the breach of implied warranties, terms or conditions or breach of any other duty of any kind imposed by operation of law. The Customer acknowledges that it is responsible for ensuring that the Products and Services it orders are fit for the purposes for which it intends to use them and for using all necessary skills and care in handling and using the purchased Products.
Cancellations and Returns
Any order made by the Customer is irrevocable. However, Ho Link may allow an order to be cancelled at its discretion, provided that the Customer shall indemnify Ho Link for the costs incurred in respect thereof. If only part of an order is cancelled, Ho Link may invoice the Customer any difference in selling price per unit applicable to the quantity actually delivered prior to cancellation compared to the quantity ordered. The Customer may only return purchased Products to Ho Link, and receive a credit or refund, on the following conditions: The Customer must contact Ho Link in advance and obtain the prior consent of Ho Link. Products must be returned to Ho Link in their original packaging.
Calibration Services
Ho Link offers calibration Services in respect of the Products. The local calibration services will provide by authorized local calibration center, the normal calibration lead time is around 4-8weeks.
Privacy and Customer Information
Ho Link shall keep personal details of the Customer Data confidential at all times. Ho Link’s policies and practices with respect to the collection, use, retention, disclosure, transfer, security and access of the Data will be in accordance with the Law of Hong Kong.
Other General Terms of Business
Any failure or delay in exercising any right, power or remedy contained in these terms and conditions by Ho Link shall not in any event be deemed to be a waiver of any other right, power or remedy in respect of any present or future default of the Customer’s performance or compliance with any of these terms and conditions. If any provision of these terms and conditions is held to be invalid or unenforceable in whole or in part, it shall be deemed removed from these terms and conditions and the validity and enforceability of any other provision hereof shall not be affected.
Law and Jurisdiction
The contract between Ho Link and the Customer as applicable to each Customer order and these terms and conditions shall be governed by and interpreted in accordance with Hong Kong Law and the Customer submits to the non-exclusive jurisdiction of the Hong Kong Courts, but Ho Link may enforce the contract in any court of competent jurisdiction
